5. Membership Eligibility and Applications

5.1 Eligibility

Membership is intended for established businesses and appropriately qualified professionals operating in relevant sectors of the golf, travel, tourism, hospitality, leisure and related industries.

We may assess applications using criteria including:

  • Business legitimacy and professional standing.
  • Industry reputation and relevant experience.
  • Financial stability, where appropriate.
  • Quality and suitability of products or services.
  • Professional conduct and service standards.
  • Relevance to the objectives and composition of the network.

5.2 Application Process

Membership may be subject to an application, invitation, verification or pre-qualification process.

Submitting an application does not guarantee acceptance. GTN reserves the right to approve or decline an application based on reasonable membership criteria, capacity, suitability and the interests of the network.

We may request additional information or supporting documentation to assess an application or verify an existing member’s eligibility.

5.3 Accurate Information

You agree to provide accurate, current and complete information when applying for membership and to update that information when necessary.

You must not misrepresent your business, professional position, trading history, products, services, credentials or affiliations.

5.4 Business Authority

If you apply for membership or use the Services on behalf of an organisation, you confirm that you have the authority to represent that organisation and accept these Terms on its behalf.

5.5 Membership Categories

GTN may offer different membership categories or participation arrangements for buyers, suppliers, destination partners, sponsors and other industry participants.

The benefits, fees, eligibility requirements and restrictions applicable to a particular category will be communicated separately where relevant.

6. Membership Fees and Payments

6.1 Fees

Any membership fee, subscription charge, event fee, sponsorship fee or other charge will be communicated to you before you commit to the relevant paid service.

The applicable quotation, order form, membership agreement, event booking or other written commercial agreement may specify the fees, payment schedule, taxes and included services.

6.2 Payment Terms

You agree to pay all charges properly due under the applicable agreement by the stated due date and using the agreed payment method.

Unless otherwise agreed in writing, invoices must be paid within the payment period stated on the invoice.

Where legally permitted, GTN may charge interest or recover reasonable costs associated with overdue payments in accordance with the applicable agreement and law.

6.3 Taxes

Fees are exclusive of VAT or other applicable taxes unless expressly stated otherwise. Any applicable taxes will be charged in accordance with the relevant legal requirements.

6.4 Renewals

Where membership or a subscription is subject to renewal, the renewal period, applicable fee, cancellation deadline and any automatic renewal arrangement will be disclosed in the relevant membership agreement or sign-up process.

GTN will not rely on an undisclosed renewal arrangement.

6.5 Changes to Fees

Any proposed fee change for an existing membership or ongoing service will be communicated in accordance with the applicable agreement and law. Where required, you will be given an opportunity to cancel before the new fee takes effect.

6.6 Non-Payment

If an undisputed amount remains unpaid after its due date, GTN may, following reasonable notice where appropriate, suspend access to paid Services or restrict participation in future activities until payment is made.

Any suspension or recovery action will be proportionate and subject to applicable contractual and legal requirements.

7. Account Registration and Security

Certain features of the Services may require you to create an Account.

You agree to:

  • Keep your login credentials confidential.
  • Use accurate registration and contact information.
  • Take reasonable steps to prevent unauthorised access to your Account.
  • Notify GTN promptly if you suspect your Account has been compromised.
  • Use your Account only for legitimate professional purposes.
  • Ensure that any person authorised to access your organisation’s Account complies with these Terms.

You must not share login credentials with unauthorised individuals, impersonate another person or attempt to access restricted accounts or systems without permission.

GTN may introduce reasonable security measures, identity checks and access controls to protect the Platform and its members.

8. Acceptable Use

You must use the Services lawfully, professionally and in a manner consistent with the purpose of the network.

You must not:

  1. Provide false, misleading, fraudulent or deceptive information.
  2. Harass, threaten, abuse or discriminate against other members.
  3. Send unsolicited bulk messages, spam or unauthorised promotional communications.
  4. Misuse another member’s contact details or confidential information.
  5. Upload unlawful, defamatory, infringing or otherwise inappropriate Content.
  6. Introduce malware, malicious code or other harmful material.
  7. Attempt to bypass access controls or interfere with the Platform’s operation.
  8. Scrape, harvest or systematically extract member information without written permission.
  9. Use the Services to distribute confidential commercial information without authority.
  10. Use the network for unlawful competition, collusion, price-fixing or other anti-competitive conduct.
  11. Misrepresent an endorsement, partnership, certification or relationship with GTN.
  12. Use another member’s name, logo or branding in a misleading or unauthorised manner.
  13. Resell, sublicense or commercially exploit access to the Platform without written permission.

GTN may investigate suspected breaches and take proportionate action, including removing Content, restricting functionality, suspending Accounts or terminating membership where justified.

9. Member Content and Business Information

9.1 Responsibility for Content

You are responsible for the Content you submit, upload, publish or share through the Services.

You must ensure that you have the necessary rights, permissions and legal authority to provide that Content and permit its use as described in these Terms.

9.2 Licence to GTN

You retain ownership of Content you submit, subject to the rights of any third parties.

You grant GTN a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and distribute your Content to the extent reasonably necessary to operate the Services, administer your membership, facilitate networking and provide any promotional activities you have agreed to.

Where you separately agree to promotional use of your Content, GTN may use it for the purposes and duration specified in that agreement.

This licence does not transfer ownership of your intellectual property to GTN.

9.3 Content Accuracy

You are responsible for ensuring that your business listings, product descriptions, destination information, offers, images and other Content are accurate and not misleading.

GTN may request corrections or remove Content that is inaccurate, outdated, unlawful or inconsistent with the purpose of the network.

9.4 Confidential Information

The Platform may facilitate the exchange of commercial proposals, pricing information, business plans, contracts and other sensitive information.

You must respect any confidentiality obligations applicable to information you receive. You must not disclose or use another member’s confidential information outside the purpose for which it was provided without appropriate permission.

Where greater protection is required, members should enter into a separate confidentiality or non-disclosure agreement.

Information will not be considered confidential solely because it appears on the Platform if it is already public, was lawfully known to the recipient, or was independently developed without using confidential information, subject to any applicable legal obligations.

9.5 Moderation and Removal

GTN may review, restrict or remove Content where reasonably necessary to protect the Platform, its members, third-party rights or compliance with applicable law.

GTN is not obliged to pre-screen all Content and does not endorse every statement, offer or representation made by a member.

10. Introductions and Commercial Relationships

10.1 Independent Businesses

Members operate as independent businesses. GTN does not ordinarily act as the agent, employee, partner or legal representative of a member.

No partnership, joint venture, employment relationship, fiduciary relationship or agency is created merely by membership or participation in the Services.

10.2 Direct Negotiations

Members are responsible for conducting their own due diligence, evaluating commercial opportunities and negotiating any contracts arising from introductions made through GTN.

Unless a separate written agreement expressly states otherwise, GTN is not a party to contracts between members.

10.3 Commercial Terms

Prices, availability, commissions, booking conditions, payment terms, cancellation policies and other commercial arrangements must be agreed directly between the relevant parties unless GTN has expressly agreed in writing to manage the relevant transaction.

10.4 No Guarantee of Results

GTN does not guarantee that an introduction will result in a commercial relationship or that a member will achieve a particular level of business, exposure, bookings or revenue.

Any commercial forecasts, market insights or business development information provided through the Services are for general information and planning purposes unless expressly incorporated into a separate written agreement.

10.5 Member Disputes

Members are encouraged to resolve commercial disagreements directly and professionally.

GTN may, at its discretion, assist with communication or facilitate a discussion, but is not required to mediate, arbitrate or resolve disputes between members.

GTN is not responsible for a member’s failure to deliver products, honour a booking, pay an invoice or fulfil a separate contract.

11. Events, Destination Visits and Familiarisation Trips

GTN may organise, host, coordinate or facilitate Events, including networking functions, golf days, seminars, destination visits, familiarisation trips and other industry activities.

11.1 Registration and Selection

Participation may be subject to an invitation, application, approval process, limited capacity or specific eligibility criteria.

Registration does not guarantee attendance until confirmed by GTN or the relevant event organiser.

Participants must provide accurate registration information and comply with any additional event-specific terms.

11.2 Event Changes and Cancellation

Event dates, venues, itineraries, speakers, participating organisations and activities may change due to operational requirements, weather, safety concerns, supplier availability or circumstances beyond GTN’s reasonable control.

Where GTN cancels or materially changes an event, it will communicate relevant arrangements and any refund, credit or alternative participation rights in accordance with the applicable booking terms and law.

Any event-specific cancellation policy will be provided before the relevant booking is confirmed.

11.3 Travel and Accommodation

Unless expressly stated in writing, participation in an Event does not automatically include flights, transport, accommodation, meals, insurance, visas, golf fees or other expenses.

Participants are responsible for confirming what is included in their invitation or booking and arranging any excluded services.

Where travel or accommodation is provided by a third-party supplier, the terms of that supplier may also apply.

11.4 Participant Conduct

Participants must behave professionally, follow venue rules, comply with safety instructions and respect fellow participants, hosts, staff and local communities.

GTN may refuse entry or remove a participant whose conduct presents a safety risk, involves harassment or serious misconduct, or materially disrupts an Event. Any financial consequences will be handled in accordance with the applicable booking terms and law.

11.5 Health, Safety and Insurance

Participants are responsible for assessing their ability to take part in relevant activities and for obtaining appropriate travel, medical and personal insurance.

Golf, outdoor activities and travel may involve inherent risks, including injury, adverse weather and transport disruption.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

11.6 Photography and Filming

Photography, filming or recording may take place at Events for reporting, documentation and promotional purposes.

Where appropriate, GTN will provide notice of such activities and obtain any consent or other lawful authorisation required. Participants who have concerns about the use of their image should contact the event organiser or GTN.

Separate event notices or consent arrangements may apply.

11.7 Third-Party Travel Services

GTN may facilitate introductions to airlines, hotels, golf courses, destination management companies, transport providers or other travel businesses.

Unless expressly stated otherwise in a separate written agreement, GTN does not itself provide those third-party services and is not responsible for their independent performance.

The legal responsibilities associated with package travel, linked travel arrangements, booking agency activities or other regulated services depend on the actual arrangements and applicable law. Nothing in these Terms removes any statutory responsibility that applies to GTN.

12. Intellectual Property

12.1 GTN Intellectual Property

Unless otherwise stated, the website, Platform design, GTN branding, logos, graphics, text, software, databases and other materials created or owned by GTN are protected by intellectual property laws.

You may use the Services for their intended professional purposes but must not copy, reproduce, modify, distribute, commercially exploit or create derivative works from GTN materials without prior written permission, except where permitted by law.

12.2 Member Intellectual Property

Members retain ownership of their respective trade marks, logos, photographs, business materials and other intellectual property.

No member may use another member’s intellectual property beyond the scope of any permission granted.

12.3 Third-Party Rights

You must not upload or use material that infringes another person’s copyright, trade mark, privacy, publicity or other legal rights.

GTN may remove allegedly infringing material while investigating a complaint and may restrict repeat infringers where appropriate.

12.4 Feedback

If you voluntarily provide suggestions or feedback about GTN’s Services, GTN may use that feedback to improve its Services without payment or restriction, provided this does not require disclosure of your confidential information or override rights that cannot lawfully be waived.

13. Third-Party Websites, Services and Offers

The Services may contain links to third-party websites, products, offers or services.

GTN does not control all third-party websites or independently guarantee the accuracy, availability, safety or suitability of third-party products and services.

A link, listing or introduction does not necessarily constitute an endorsement, certification or guarantee by GTN.

You should review the relevant third party’s terms, privacy policy, commercial conditions and credentials before entering into an agreement or providing payment or personal information.

14. Availability of the Platform

GTN will take reasonable steps to maintain the availability and security of the Platform.

However, uninterrupted or error-free operation cannot be guaranteed. Access may occasionally be restricted due to maintenance, upgrades, technical faults, security incidents, third-party service failures or circumstances beyond GTN’s reasonable control.

GTN may modify, replace or discontinue particular features where reasonably necessary for operational, technical, security or business reasons.

Where a change materially affects a paid service, GTN will act in accordance with the applicable agreement and law.

15. Privacy and Data Protection

GTN processes personal information in accordance with its Privacy Policy, available at www.golftourismnetwork.com/privacy-policy/.

Personal information may be processed to:

  • Assess and administer membership applications.
  • Operate Accounts and provide networking facilities.
  • Facilitate introductions and event participation.
  • Communicate with members and manage enquiries.
  • Protect the security and integrity of the Services.
  • Meet legal and contractual obligations.

Members must ensure that they have a lawful basis to provide personal information about other individuals and must handle information received through the network in compliance with applicable data protection laws.

You must not misuse personal information obtained through GTN for spam, unauthorised marketing, unlawful profiling or any other incompatible purpose.

Where GTN and a member each determine their own purposes for processing personal information, each party is responsible for its own applicable obligations. Where a separate data-processing or data-sharing agreement is required, the relevant parties must enter into it.

16. Suspension and Termination

16.1 Termination by a Member

A member may terminate its membership by following the cancellation process set out in its membership agreement or by contacting GTN in writing.

Termination will take effect in accordance with the applicable agreement. Fees, notice periods and refund rights will be determined by that agreement and applicable law.

16.2 Suspension or Termination by GTN

GTN may suspend or terminate access to the Services where reasonably necessary, including where:

  • A member materially breaches these Terms.
  • Information supplied by a member is materially false or misleading.
  • A member engages in fraud, unlawful conduct or serious professional misconduct.
  • A member misuses confidential information or another member’s personal data.
  • A member’s conduct presents a material security, legal or reputational risk.
  • Fees remain unpaid in accordance with the applicable payment terms.
  • GTN is legally required to restrict access.

Where reasonably practicable, GTN will provide notice of the issue and an opportunity to remedy it before taking action. Immediate suspension may be appropriate where necessary to address serious security concerns, suspected fraud, unlawful conduct or risks to other members.

16.3 Consequences of Termination

When membership ends, the relevant member’s access to restricted features and member-only benefits may cease.

Any outstanding payment obligations, confidentiality obligations, intellectual property rights, accrued claims and other provisions intended to survive termination will continue to apply as appropriate.

GTN will handle member information following termination in accordance with its Privacy Policy, applicable agreements and legal obligations.

17. Disclaimers

The Services are intended to facilitate professional networking and business development.

To the extent permitted by law:

  • GTN does not guarantee the accuracy or completeness of all member-provided information.
  • GTN does not guarantee that a member is financially sound, suitable for a particular transaction or capable of performing a contract.
  • GTN does not guarantee the availability, quality or performance of third-party services.
  • GTN does not guarantee commercial outcomes, sales, leads, bookings or revenue.
  • Information provided through the Services is not a substitute for independent commercial, financial, legal or professional advice.

GTN may conduct membership screening or verification, but such checks do not amount to a guarantee of a member’s future conduct, financial position or performance.

Nothing in these Terms excludes any warranty, representation or obligation that cannot lawfully be excluded.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.

In particular, nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be limited or excluded.

Subject to the above and to any mandatory rights applicable to the relevant customer:

18.1 Types of Loss

GTN will not be liable for loss of profits, loss of business opportunities, loss of anticipated savings, loss of goodwill or indirect or consequential loss arising from the use of the Services, to the extent such losses may lawfully be excluded.

18.2 Third-Party Conduct

To the extent permitted by law, GTN is not responsible for the independent acts, omissions, representations, products, services or contractual performance of members or third-party providers.

This does not exclude liability arising from GTN’s own acts or omissions where such liability cannot lawfully be excluded.

18.3 Platform Interruptions

GTN is not liable for interruptions or failures caused by circumstances outside its reasonable control, subject to any obligations that remain applicable under the relevant contract or law.

18.4 Business Memberships

For memberships and services supplied wholly for business purposes, any financial cap on GTN’s liability should be specified in the applicable membership agreement or commercial contract.

Unless a separate written agreement specifies a lawful cap, nothing in this section creates an unlimited exclusion of GTN’s liability or removes any liability that cannot legally be excluded.

18.5 Statutory Rights

If you qualify as a consumer under applicable law, nothing in these Terms affects your mandatory statutory rights, including rights relating to the reasonable care and skill with which services are supplied.

19. Indemnity

Where permitted by law, you agree to compensate GTN for reasonable losses, liabilities and costs directly arising from your unlawful conduct, material breach of these Terms or infringement of third-party rights.

This provision applies only to the extent that the relevant loss was caused by your conduct and is recoverable under applicable law. It does not require you to compensate GTN for losses caused by GTN’s own negligence, breach of contract or other wrongful conduct.

Any claim under this section will be subject to applicable legal requirements and the duty to take reasonable steps to mitigate loss.

20. Changes to These Terms

GTN may update these Terms to reflect changes in its Services, technology, operations or legal obligations.

Where a change materially affects an existing membership or contractual arrangement, GTN will provide reasonable notice and comply with the relevant agreement and applicable law.

Where required, GTN will obtain your agreement to material changes before they take effect.

The current version will be published on www.golftourismnetwork.com with its effective or last-updated date.

Your continued use of the Services following a change does not override any legal requirement for separate consent or agreement.

21. Complaints and Disputes

If you have a complaint relating to the Services, membership or another GTN activity, please contact us at info@golftourismnetwork.com, providing details of the issue and any relevant supporting information.

We will consider the complaint and aim to respond within a reasonable period.

Where a dispute arises between GTN and a member, the parties will first seek to resolve it through good-faith discussions.

Nothing in this section prevents either party from seeking urgent legal relief or exercising a statutory right.

22. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales, unless applicable law requires otherwise.

The courts of England and Wales shall have jurisdiction over disputes arising from these Terms, subject to any mandatory jurisdictional protections or rights that apply to the relevant party.

Where a member is a consumer, nothing in this section deprives that consumer of mandatory rights or protections available under applicable law.

23. General Provisions

23.1 Entire Agreement

These Terms, together with any applicable membership agreement, event terms, order form, privacy notice or other expressly incorporated document, form the agreement between the relevant parties concerning the subject matter covered by those documents.

Where documents conflict, the specific written agreement governing the relevant service will take precedence to the extent of the conflict.

23.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

23.3 No Waiver

A failure or delay by GTN in exercising a right does not constitute a waiver of that right.

23.4 Assignment

You may not transfer your membership or rights under these Terms without GTN’s prior written consent.

GTN may transfer or restructure its rights and obligations as part of a genuine business reorganisation or transfer, provided this is permitted by the applicable agreement and law and does not unlawfully prejudice your rights.

23.5 No Third-Party Rights

Except where expressly stated or required by law, a person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.

23.6 Force Majeure

Neither party will be responsible for a failure or delay caused by circumstances beyond its reasonable control, provided the affected party takes reasonable steps to reduce the impact and resumes performance when reasonably possible.

This clause does not remove payment obligations already due or any statutory rights that cannot lawfully be excluded.
